Beta Provider Agreement

Effective 2026-10-18 · Version 1.0

This Beta Provider Agreement (the "Agreement") is between you, the person or organization that builds an app on our platform (the "Provider," "you"), and Vista del Lago Software LLC, a Delaware limited liability company that offers the platform under the Lonzo name ("we," "us"). It applies only during the private beta and only to building and offering an app on the platform. It does not let you sell anything.

1. Definitions

  • Platform — Lonzo Platform: the software, services and interfaces we make available for building and running apps.
  • Provider App — an app you build, configure or offer on the Platform. Apps operated by Vista del Lago Software LLC itself are not Provider Apps.
  • End User — a person who uses your Provider App.

2. The beta, and what we grant you

We give you a limited, revocable, non-exclusive, non-transferable permission to use the Platform to build, test and offer your Provider App to the End Users you invite, during the private beta and under this Agreement. The beta is invite-only and experimental: features may change, break or be withdrawn at any time, and the beta may end at any time. We may limit how many End Users a beta app may invite. There are no fees for the beta.

You use a dedicated provider account for your Provider App, not a personal account, and you publish your app to the Platform only through the access the Platform issues to you for that purpose.

No selling. Under this Agreement you may not sell, charge for, or accept payment for your Provider App or anything in it through the Platform, and we pay you nothing. Commerce and payouts are out of scope and would need a separate agreement.

3. Your responsibilities to your End Users

You are responsible for your Provider App and for your relationship with its End Users. That means:

  • you give your End Users your own terms and a privacy notice for your app, and you follow them;
  • you provide support for your app, and you keep what your app tells End Users accurate;
  • you use the Platform, and run your app, lawfully;
  • you never present yourself or your app as Lonzo or as Vista del Lago Software LLC;
  • you do not remove, hide, alter or contradict the notices the Platform shows your End Users — including the Google data recipient statement and the AI-processing consent, both of which name Lonzo (Vista del Lago Software LLC) — and you never claim that you, rather than Lonzo (Vista del Lago Software LLC), are the recipient of that data or the party processing it.

4. End User data

End User data is handled under our Privacy Policy and our Google API Services Limited Use Disclosure, which say what we receive and how we use it. You agree that:

  • you request and receive Google user data only through the Platform, and you use it only to provide your Provider App to the End User it belongs to;
  • your use of Google user data, and of anything aggregated, anonymized or derived from it, complies with the Google API Services User Data Policy, including its Limited Use requirements, which are part of this Agreement. In particular:
    • Allowed use. You use it only to provide or improve visible and prominent user-facing features of your Provider App.
    • Allowed transfer. You transfer it only (a) to provide or improve those features, and only with the End User's consent; (b) for security purposes, for example investigating abuse; (c) to comply with applicable laws and regulations; or (d) as part of a merger, acquisition or sale of assets, after obtaining the End User's explicit prior consent.
    • No human reading, except where you have obtained and documented the End User's explicit consent to view specific data, where the data is aggregated and anonymized and used for internal operations as the law allows, or where it is necessary for security purposes or to comply with applicable laws and regulations.
    • No other transfers, uses or sales. You never transfer or sell it to advertising platforms, data brokers or information resellers; never use it to serve ads; never use it to determine credit-worthiness or for lending; and never use it to create, train or improve a machine-learning or artificial-intelligence model;
  • you do not transfer Google user data, or anything derived from it, off the Platform except as the rules above allow;
  • you never sell End User data;
  • you collect no more End User data than your app needs, and you delete it when you no longer need it or the End User asks.

5. Acceptable use

You will not use the Platform or your Provider App to: break the law or anyone's rights; send spam or unsolicited messages; deceive, harass or harm anyone; distribute malware; probe, overload or get around the Platform's security or limits; access data you are not authorized to; or follow any prohibition in our Acceptable Use & Anti-Spam Policy.

6. Security and incidents

You keep your credentials and the Platform's access tokens secret, and you use the Platform only through the access we give you. If you learn of a security incident affecting the Platform, End User data or your Provider App, you tell us at security@lonzo.ai without undue delay and cooperate with our response.

7. Suspension and termination

Either of us may end this Agreement at any time by notice. We may suspend or remove your Provider App, or your access, immediately if you breach this Agreement or if we believe your app creates a risk to End Users, to the Platform or to others. When this Agreement ends, your access to the Platform stops, and your Provider App is removed from the Platform as this Section describes.

What we do for your End Users when your Provider App is removed. When your Provider App leaves the Platform, whether because this Agreement ends or because we remove it, we do the following:

  • Notice. We give the app's End Users at least 90 days' notice before it is removed, except where removing it sooner is needed to stop active harm to End Users, to the Platform or to others.
  • Export. Each End User can export their data from the app during a 30-day export window.
  • Removal. At the end of the export window, each End User is removed from the Provider App exactly as if they had uninstalled it. Their Lonzo account, their other apps and their Google data are not affected.
  • Per-app settings. The app's settings for each End User are deleted at the end of the export window.
  • Audience records. The records of which End Users the app was offered to are deleted 30 days after the app's access is revoked.
  • Billing and tax records are kept for seven years, as tax and accounting law requires.

These commitments apply to a Provider App that has End Users. Residual copies in our encrypted backups age out on the schedule in our Data Retention & Deletion Policy.

These commitments, and Sections 4, 8, 9, 10, 11, 12 and 14, continue after this Agreement ends.

8. Intellectual property and feedback

You keep the rights in your Provider App. We keep all rights in the Platform. If you send us feedback, we may use it without obligation to you.

9. Confidentiality

The beta, and anything we share with you about the Platform that is not public, is confidential. You use it only to take part in the beta and do not share it, except as the law requires.

10. No warranty

The Platform and the beta are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the fullest extent the law allows.

11. Limitation of liability

To the fullest extent the law allows, neither of us is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability under this Agreement is limited to USD 100.

12. Your indemnity

You will defend and indemnify us against third-party claims arising from your Provider App, your dealings with your End Users, or your breach of this Agreement.

13. Changes to this Agreement

We may change this Agreement by telling you by email or in the Platform. A material change takes effect for you only when you accept the new version on the Platform, the same way you accepted this one. Until you do, your Provider App stays available to its End Users for a grace period we state in the notice; after that, it is paused for its End Users until you accept or this Agreement ends.

14. Governing law and venue

This Agreement and any dispute arising out of or related to it are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. The exclusive venue for any such dispute is the state and federal courts located in New Castle County, Delaware, and you consent to their jurisdiction.

15. Entire agreement, and acceptance

This Agreement is the whole agreement between us about the beta. You accept it by agreeing to it from your own signed-in provider account on the Platform; the Platform records who accepted, which version, and when. Your app cannot be made available to End Users until you have accepted the current version.
